Is this Self-dealing?

I have a four year degree, but maybe you can help me figure this out.

There's a lease agreement between the CCHOA and Phoenix Holdings, Inc. (Controlled by Steve Bartlett up until May 2003) whereby our CCHOA leased the space currently occupied at 5919 LaCrosse to Phoenix for 10 years at a rate of $100.00 a month. This address has two suites - 100 & 200 and are occupied by Circle C Landscape and Full Circle Management.

1)?  When the lease was executed, Steve Bartlett was still listed as the registered agent of Phoenix Holdings while on the board of the CCHOA. He has changed it to Brad Beutel (Bradley's cousin) in May of this year.? 

Self-dealing?? 

Where does this show up in the auditor's report? And, where is the 2002 auditor's report, anyway??  According to the minutes of the meeting of the board for January, it was ordered over 6 months ago. Why is it taking so long? Our governing documents promise an audit to the members at every annual meeting.

2)?  It looks like we're paying the utilities there as well.? I assume it would cost us over $100.00 a month for all the utilities. That's a sweet deal. Unless you're not Susan Hoover or Steve Bartlett or a BOD. And, what do our other neighbors, Rigsbee and O'Reilly get out of this?

According to Susan Hoover she's leasing the space there from Phoenix Holdings. How can the BOD give your property away for free. For 10 years!?

The above property is owned by the Association (Circle C Homeowners) since February 28, 2001.

Annual Rental Income (Suites 100 & 200) received by Phoenix Holdings, Inc., owned by Gary Bradley
$100 x 12 months = $1,200

Phoenix Holdings, Inc. also receives rent from Circle C Cafe & Catering (part of the above property), amount unknown.

Gary Bradley uses part of 5919 La Crosse Ave. (swimming pool) as a money making machine by owning a swimming team, making around 300K or more last year.

Circle C Homeowners pick up ALL the expenses as follows:
Property Taxes
Utility Bills
Capital Improvements
Furnitures
Swimming Pool maintenance and repairs

OK, so Phoenix Holdings (Bartlett president since 2 months ago, now Buetel (cousin of Bradley in his place) pays us $1,200 a year for the office space.

The taxes paid, by Circle C homeowners in 2002 was was $1,263.00.

PLUS it looks like we pay all the utilities.
PLUS we don't get the rental income from the 2 businesses.
