ELIGIBILITY: Any person age 18 or over who resides in the Highland Farms subdivision as described in Article 1 shall be eligible for membership and for office.
DUES: Association dues in the amount of $25.00 per residence, per year shall be payable at the beginning of each calendar year. Members may also pay dues on a monthly basis at a rate of $3.00 per month. No one shall be denied membership for failure to pay dues.
VOTING: Each member of the Association, present at any meeting or special meeting, shall be entitles to one vote.
Three or more Association members present at any regularly scheduled monthly meeting shall constitute a quorum.
Any affirmative vote of more than sixty-six percent (66%) of the quorum shall be binding on the Association.
The privilege of introducing motions and voting shall be limited to members of the Association.
MEETINGS: The Highland Farms Neighborhood Association shall hold regular meetings on the third or forth Tuesday of each month.
The Executive Board may call special meetings. A seven-day notice shall be given for special meetings.
Minutes shall be taken at each Association meeting.
HONORARY MEMBERSHIP: Honorary membership may be awarded to persons or businesses who have performed services that tend to further the purposes of the Association.
The election of honorary members shall be by majority vote of the quorum.
Honorary members shall have no vote.
EXECUTIVE BOARD:
COMPOSITION: Elected members of the Highland Farm Neighborhood Association Executive Board shall consist of: President, Vice President, Secretary, Treasurer, and Facilitator (Sergeant of Arms). Executive Board members shall serve without compensation.
ELECTIONS: The Executive Board shall be nominated and elected once per calendar year at a regularly scheduled meeting by the members present. Each Executive Board member candidate shall be nominated by an Association member and approved by an affirmative vote of more than sixty six percent (66%) of the quorum. The successful candidates will take office at the following meeting.
TERM: Executive Board members shall serve a one-year term.
TERM LIMITS: The Executive Board members shall not hold the same office for more than two consecutive one-year terms.
VACANCIES: A vacancy of an elected officer shall be filled by a substitute presented by the Executive Board to the Association and will remain in said position until the next annual election. The Association shall vote in the substitute as soon as feasible.
COMMITTEES:
COMPOSITION: There shall be six standing committees: Finance, Environmental, Security, Social, Membership, & Communication. Other committees may be added as deemed necessary by the Association.
ELECTIONS: Each standing committee shall also have a Chairperson nominated by the Executive Board and approved by an affirmative vote of more than sixty six percent (66%) of the quorum. Committee Chairpersons and Committee Members shall serve without compensation.
EXECUTIVE BOARD RESPONSIBILITIES:
PRESIDENT: The President shall:
- Preside at all regularly scheduled and special Association meetings
- Serve as chair of the Executive Board and as general spokesperson for the Association
- Supervise the direction of all Association events and committees
- With the Treasurer, summarize yearly expenses and present a budget for approval by the Executive Board and the membership early in the year
- Review bills and bank statements before passing them on to the Treasurer
- Sign with the Secreary, or any other officer authorized by the Executive Board, any contracts or other legal documents expressly authorized by the Executive Board
- Sign with the Treasurer all withdrawals of funds from Association bank account(s)
- With the assistance of the members, set the agenda for the Association
VICE-PRESIDENT: The Vice-President shall:
- Carry out the duties of the President in the event that the President is temporarily unable to fulfill the required duties
- Work closely with the President to ensure committees and events function properly
- Be liaison between the Association and Cellular on Patrol
- Be responsible for overseeing the preparation and distribuing of the Associate's Newsletter (if one exists)
- Perform other duties as requested by the President or Executive Board
SECRETARY: The Secretary shall:
- Prepare and maintain minutes of meetings
- Sign with the President all contracts authorized by the board
- Keep a register of meeting attendees
- Maintain correspondence records
- Maintain an up-to-date membership list
- Perform other duties as requested by the President or Executive Board
TREASURER: The Treasurer shall:
- Collect, distribute, and oversee all funds the Association deems necessary for its functioning
- Present precise fiscal reports to the Executive Board and Association members at meetings
- Deposit the collection of yearly contributions
- Under the direction of the Executive Board, ensure that funds are used for the exclusive support of the Association's mission
- All checks shall be signed by the Treasurer and by one of the following: President, or if unavailable, by the Vice President
- Perform other duties as requested by the President or Executive Board
FACILITATOR: The Facilitator shall:
- Maintain the direction and decorum of meetings within the Executive Board and the General Assembly of the Association
- Ensure that those who wish to speak have the opportunity to do so
- Utilize Robert's Rules of Order Newly Revised as the parliamentary authority for all matters of procedure
- With the President, be responsible for interpreting the Association bylaws
- Perform other duties as requested by the President or Executive Board
COMMITTEE CHAIRPERSON: The Committee Chairperson shall:
- Coordinate all events and functions pertaining to the nature of their respective committees in conjunction with the overall purpose of the Association
- Collect ideas and suggestions from the membership and gather vounteers to help organize events
- Prepare a projection of anticipated expenditures, when appropriate, and obtain approval from the Executive Board prior to any sponsored events
COMMITTEE RESPONSIBILITIES:
FINANCE COMMITTEE:
- Undertake revenue generation activities for the benefit of the Association such as organizing fundraising activities and securing donations and dues
ENVIRONMENTAL COMMITTEE:
- Act as a liaison to the City of San Antonio Neighborhood Planning
- Interface with developers and communicate impacts to the community
- Interact with the City of San Antonio concerning Association requests for zoning changes and/or neighborhood improvements
- Shall be responsible for handling city code compliance issues affecting the neighborhood
- Shall conduct monthly neighborhood code compliance inspections and report findings to the City of San Antonio Code Compliance authorities
- Undertake the pursuit of street repairs when needed
- Assist with the nitification of animal control authorities
- Organize a periodic neighborhood clean sweep
- Organize a periodic neighborhood "Dial A Trailer"
SECURITY COMMITTEE:
- Develop and maintain a sage and secure environment for the neighborhood
- Work with the City of San Antonio Police Department in the area of neighborhood safety
- Organize a Neighborhood watch
- Organize a Cellular on patrol
- Work with the City of San Antonio Police in the area of crime prevention
SOCIAL COMMITTEE:
- Provide social activities for the Association
- Provide Association memberhsip and directory infomation to all residents
- Organize the "Good Neighbor Program"
- Organize all Association and Neighborhood Events
- Provide refreshments at Association meetings
MEMBERSHIP:
- Maintain a list of all Association members
- Maintain a phone & e-mail directory of all Association members
- Organize a system of "Block Captains" within the neighborhood
COMMUNICATION:
- Publish and distribute the monthly Association newsletter
- Create and update the Association website
- Create and setup all advertising signs and flyers for the Association
- Organize and maintain all Association "Phone Callers"
