1. Name
These bylaws set forth the structure of a community organization to be known as the Lake Arnold Terrace Association (“LATA”, “Lake Arnold Terrace” or “the Association”).
2. Area Boundaries
The LATA Neighborhood (“neighborhood”) is considered to be Walnut Street and Dellwood Drive, between the boundaries of Primrose and Crystal Lake Drive.
3. Purpose
General purposes of the Lake Arnold Terrace Association is to enhance the quality of life for the residents through positive neighbor relations, lakefront property usage and enhancements, and an overall sense of community. Means for doing so shall include:
-Monitoring, distributing information, and encouraging discussion about neighborhood conditions, with the primary focus being on the Lake Arnold Terrace Association Lakefront Property
- Providing a forum for identifying issues of common interest, airing various points of view on them, and developing options to solve problems pertaining solely to the LATA Lakefront Property
- Serving as a neighborhood voice and recognized channel of communication with City staff, elected officials, and other institutions and groups impacting the neighborhood
- Encouraging neighbor awareness of and participation in all things pertaining to LATA and its endeavors
4. Membership
Membership is open to all persons age 18 and older who own real property located within the area boundaries. Membership is established by informing the LATA secretary of name, address, phone number, and e-mail address (if any). Membership is not mandatory.
5. Dues
Dues will be collected annually and be used toward the maintenance and upkeep of the LATA Lakefront Property. Dues are not required, however, requested.
6. Officers (“the Board”)
All officers shall be elected for a one-year term by majority vote of members present at an annual meeting. None, however, may be elected with less than 10 percent of votes available from members present. Any officer may be removed during term of office by a 2/3 majority vote of the general membership, following a motion and second. The officers and their major responsibilities shall be:
President: Chair neighborhood meetings; officially represent LATA to external parties; write neighborhood newsletter.
Secretary: Record and distribute meeting minutes; maintain membership list.
Vice President: Support and act in place of President or Secretary as needed.
Treasurer: Safe-keep, disburse, and account for any funds received from members or other parties to support LATA activity; provide detailed reporting of all financial activity.
7. Finances
The funds of the association shall be deposited in such bank or other financial institution as the Board shall designate, and shall be withdrawn only upon checks, drafts or order of the association signed by the treasurer or other designated officer. The Board shall ratify any expenditure of greater than $250.00. A special exemption is allowed for ordinary expenditures related to the operation of the Lakefront Property (i.e. lawn care, etc). A general meeting of all Association Members will be called to ratify expenditures greater than $250 with a majority vote of members present at meeting. None, however, may be ratified with less than 10 percent of votes available from members present.
8. Other Committees
A LATA committee focusing on a particular issue or task may be established, either upon request from an association member or on the Board’s own initiative.
9. Meetings
A minimum of one General Membership meeting shall be held every year. The President shall develop the meeting agenda. Additional meetings may be called as warranted. General meetings will be announced as early as possible, in no case with less than 48-hours notice.
10. Communications
Information about LATA activities shall be disseminated regularly to members. Most communication shall be by printed newsletter and electronic mail.
11. Amendments
Changes can be made to the Bylaws, as stated above, by creating an Amendment and calling a General Meeting of the Association for a vote. The amendment will pass with a majority vote of members present at meeting. None, however, may be passed with less than 10 percent of votes available from members present. Absentee ballots may be delivered to any member of the Board prior to the General Meeting if a member can not attend.
