ASSOCIATION BY LAWS

North Star Neighborhood Bylaws



ARTICLE 1.  NAME AND PURPOSE

The name of the association shall be the “North Star Neighborhood Association.”

The association will operate exclusively in an effort to maintain, protect, enhance and improve the quality of the neighborhood within the boundaries set forth in these bylaws.

ARTICLE II.  BOUNDARIES

The area included in the association shall be bounded by North Elgin on the West, 37th Street on the South, North Garrison on the East and 40th Place on the North.

ARTICLE III.  MEMBERSHIP

Section 1.  Membership Composition.
There shall be one class of membership.  This membership shall be voting.  Membership is open to any resident, property owner or business located within  the designated boundaries.

Section 2.  Dues
Dues are recommended but not mandatory for all members.

Section 3.    Annual Meetings.
Every even number year, starting the year 2010, the members of the association shall hold a bi-annual meeting the fourth Tuesday in September of that year at seven (7:00) P.M., or at such other date and time as shall be designated by the Executive Board and stated in a notice of the meeting.   Election of the association officers shall be held at the bi-annual meeting.



Section 4.    Special Meetings.
Special meetings may be called by the President, the Executive Board, or by a group of not less than fifteen (15) association members in good standing.  Good standing meaning dues are paid up to date and/or a member has not missed one-fourth of the meetings held at that time.

Section 5.  Notice of Meetings.
Notice of all meetings shall be posted throughout the neighborhood and/or published in the North Star Association Website stating the place, day, hour and subject of the meeting.  This notice shall be given not less than five (5) days prior to the meeting.

Section 6.  Voting.
At all meetings of members, each member in good standing in attendance shall be entitled to one vote.

Section 7.  Quorum.
The members in good standing present at any properly announced meeting shall constitute a quorum for transaction of such meeting.

ARTICLE IV.  EXECUTIVE BOARD
Section 1.  Management and Composition.
The management of the affairs and business of the association shall be vested in an Executive Board consisting of a President, Vice-President, Secretary and Treasurer or the assistant position holders.

Section 2.  Term and Qualifications.
Terms shall commence September every two years and shall be for two (2) years with an option to serve another consecutive term upon vote of the membership.

ARTICLE VII.  CONTRACTS, CHECKS, DEPOSITS AND FUNDS

Section 1.  Contracts.
The Executive Board may authorize any office or officers, agent or agents of the association, in addition to the officers so authorized by these bylaws, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the association, and such authority may be general or confined to specific instances.

Section 2.  Checks, Drafts, etc.
All checks, drafts and other orders for the payment of money, notes or other evidence of indebtedness issued in the name of the association, shall require the signature of two (2) officers or an officer and any authorized designee by the Executive Board in order to authorize any disbursements from the association funds.

Section 3.  Deposits.
All funds of the association shall be deposited to the credit of the association in such banks, trust companies, or other depositories as the Executive Board may select.

Section 4.  Gifts.
The Executive board may accept, on behalf of the association any contribution, gift or bequest for the general purpose or for any special purpose of the association.

ARTICLE VIII.  BOOKS AND RECORDS

The association shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its Executive Board and shall keep a record giving the names and addresses of its officers.  All books and records shall be subject to audit at the direction of the Executive Board.

ARTICE IX.  AMENDMENT TO BYLAWS

These bylaws may be altered, amended or repealed and new bylaws may be adopted by the membership at any regular or special meeting of the membership as long as the meeting notice contained an explanation of the proposed change.
