Article I
Name and Boundaries
Section1

The name of the Association shall be the “Oakcliff Neighborhood Association” herein after referred to as the “Association” or “ONA”.

Section 2

The Association shall serve the neighborhood from SE 44 north to SE 59 south and from SE Bryant west to SE Shalimar east,and all adjacent cul-de-sacs.

Article II
Objectives
Section 1

The Association shall be a non-profit organization for the purpose to improving and beautifying the neighborhood, educating members in the prevention of residential crime, and improving neighborhood and community relationships and to promote a better community through group action.

Section 2

The Association shall implement the “Oakcliff Neighborhood Association Watch Patrol” for patrolling to aid in the prevention of crime. The patrol shall be on a voluntary basis only. The procedures and policies of the watch patrol shall be subject to the association’s bylaws and the watch patrol’s handbook standing rules.
The Watch Patrol shall use the handbook adopted by the Patrol by a majority vote at a patrol meeting, to be approved afterward by a majority vote of the Executive Board as a whole.

Section 3

The Association is self-governed by the membership and in accordance with these bylaws. Local law enforcement provides guidance and instructional aid for the patrol units, as outlined in Article II, Section 2.

Section 4

The Association shall be non-commercial, non sectarian, non partisan and non political, the name of the Association, and/or the name of and member (in their official capacity), shall not be used in connection and affiliation with any commercial, sectarian, partisan or political interest or for any purpose not appropriately related to the promotion or objectives of the Association, as Outlined in Article II Section 1.
The Association shall not directly or indirectly participate or intervene, in any way, in any political campaign on behalf of or in opposition of any candidate for public office. Campaign speaking is not authorized. Any speaker wishing to address this Association must have prior approval from executive board to insure compliance with Article II, Section 4.

Section 5

The Association will not endorse, in any way, the carrying of weapons of any kind by the patrolling members.

Article III
Finances and Records
Section 1

All checks, drafts, and other orders from the payment of monies, notes or other evidence of indebtedness issued in the name of the Association shall be signed by two (2) of the four (4) following positions: Treasurer, Alternate Treasurer, President, or Vice President.

Section 2

All Disbursement in excess of fifty dollars ($50.00) requires a majority vote of members present during a regular association meeting. All members voting on issues relating to the treasure must have paid membership dues and membership current. The treasurer will verify members voting that membership is current.

Section 3

All funds of the Association shall be deposited to the credit of the Association in a federally insured institution selected by the executive board.

Section 4

The executive board may accept on behalf of the Association, any contribution gift or bequest for the general purpose of the Association.


Article IV
Memberships
Section 1

Membership dues in the Association shall be twelve dollars ($12.00)per household,per year.

Section 2

Term for membership in the Association shall be from February 1 through January 31. Dues shall be payable on or before February 1. Membership in this organization shall be available without regard to race, color, gender, creed, national origin, or sexual preference.

Section 3

Members eighteen (18) years old and older and present at the meeting shall be eligible to vote on all Association business.

Section 4

Any member who acts in a manner that does not serve the best interests of the Association may be expelled by a two-thirds (2/3) majority vote of the members present at a regular Association meeting. Termination of membership shall be effective immediately upon affirmative vote.

Section 5

Any action taken by elected officers, Executive Board, Patrol Captain, Patrol Lieutenant, may always appeal to the membership for a majority vote to over turn the action taken.


Article V
Officers
Section 1

The elected officers of this Association shall consist of: President, Vice President, Secretary, Treasurer, Alternate Treasurer, Patrol Captain, (or Patrol Lieutenant [Article VII, Section 1]) and District managers of each district.

Section2

The election of officers shall be during the annual meeting in March. Officers shall be elected by majority vote, by ballot. In the event of only one nomination for any office, that nomination shall win by acclimation. Newly elected officers shall assume their official duties starting April 1st, of that year.

Section 3

All members of the Association in good standing shall be eligible to hold any office in the Association, must be a home-owner or resident of more than a year. Officiers must reside in the neighborhood. (Article 1 section 2 )

Section 4

There shall be a nominating committee composed of three (3) members elected by the membership. It shall be the duty of this committee to seek willing members to serve as officers or committee persons as vacancies occur. Names and position to be read to the membership, at which time additional nominations may be made to the floor. Only members, who have signified their consent to serve, if elected, shall be nominated for or elected to such office.

Section5

A vacancy occurring in any office shall be filled for the unexpired term by a majority vote of the members during a regular Association meeting.

Section 6

Any officer whose actions are not in the best interests of the Association may be removed by a two-thirds (2/3) vote of the members at a regular Association meeting. Termination of office shall be effective immediately upon affirmative vote.


Article VI
Duties of Officers
Section 1

President: shall preside at all regular meetings of the Association and shall be an executive officer member of all committees excluding nominating and the audit committees.

Section2

Vice President: shall assist the President in performing the duties of his/her office and shall execute the duties of the President in his/her absence.

Section3

Secretary: shall keep accurate records oof all meetings of the Association,and shall retain a copy of all meetings and correspondence of the Association.

Section 4

Treasurer: shall have charge of the funds of the Association. Pay all claims against the Association approved by the members. Keep accurate accounts so that the Association can be informed of its financial condition at any time. A Treasures report shall be given at all regular meetings and file for audit.

Section 5

Alternate Treasurer: shall assist the Treasurer in performing the duties of his/her office and shall execute the duties of the Treasurer in his/her absence.

Section 6

Patrol Captain: shall be in charge of the Neighborhood Watch Patrol. The Captain shall be responsible for all Patrol equipment, keeping it in proper working order and the whereabouts of the equipment at all times. Call meetings every other week for the purpose of scheduling a two week period of times and dates for patrol duty. May select an assistant in his/her absence. Shall present a report of the Patrol’s activities at the regular meeting.


Article VII
Executive Board
Section1

The Executive Board shall consist of the President, Vice President, Secretary, Treasurer,Alternate Treasure. The past President may be a voting member of the Executive Board for a period of one year. Members of the Oklahoma City Police Department may attend Association Executive Board meetings.

Section2

The Executive Board shall be responsible for business referred to it by the Association, and shall consider and, with two-thirds (2/3) vote of the entire Executive Board in the affirmative, approve Presidential appointments of standing committees and shall perform such other duties as are specified by these bylaws.

Section 3

The meetings of the Executive Board shall be held on an as needed basis. The time, date, and place, of the meetings will be at the discretion of the President and Executive Board members. Special Board meetings may be called by the President or by any Board Member when the continued success of the Association is hindered or threatened.

Section 4

All proposed programs of projects, requiring approval by the membership, will be reviewed and considered by the Executive Board and must be approved by a majority vote of the Executive Board, before being presented to the membership for consideration.

Section 5

In the case the Patrol Captain or Patrol Lieutenant suspend a patroller (Article VI, Section 6) a hearing of the Executive Board may be called by the accused to confirm or overturn the suspension by a majority vote.


Article VIII
Meetings
Section 1

Regular meetings shall be the second Thursday of every month at 6:30 pm.

Section 2

The annual meeting shall be held in March and shall be for the purpose of electing officers, receiving annual reports from officers and committees and any other business deemed necessary.

Section 3

Special meetings may be called by the President, a majority vote of the Executive Board or by a petition signed by twenty (20) members. Notice and Purpose of the meeting must be distributed to members no later than five (5) days prior to the meeting. Only the announced purpose for of the meeting shall be discussed during that meeting.

Section 4

At least twenty percent (20%) of the membership must be present to conduct official business and deemed a quorum at regular Association meetings.

Section 5

Meeting locations for all meetings shall be determined by the Executive Board.


Article IX
Standing Committees
Section 1

The majority of members in any meeting may set up committees to deal with continuing problem areas or for specific purposes (Said committees may be appointed by the President or elected by members of the Association).

Section 2

Membership Committee: shall consist of all block Captains appointed by the Vice President. It shall be the duties of this committee to sign on new members and potential patrol members. To distribute the “Oakcliff Newsletter” and any other printed materials to members. And to alert all homes, as directed by block captains, in the event of emergency water pollution or other unnatural occurrence which may cause undue harm or death to the neighborhood.

Section 3

Publicity Committee: shall consist of block captains. It shall be the duties of this committee to study ways and means of acquainting the general public with the functions and services of the Association and to print and distribute special notices of concern to the neighborhood.

Section 4

Audit Committee: shall consist of three (3) members not holding any elected position. The committee is filled through nominations and approved by the membership to audit the accounts of the Treasurer when deemed necessary. If all three (3) members are newly appointed, an immediate audit shall be accomplished as soon as possible after the election. An annual audit shall take place before the annual membership meeting at which time the committee shall make a report.

Section 5

Bylaws Committee: shall consist of three (3) members appointed by the President promptly after the initial meeting of the Association. Vacancies occurring on this committee shall be filled by nominations and approved by a vote of the membership of the Association. It shall be the duties of this committee to edit and/or correlate any amendments and/or changes to these bylaws and print the new amendments and/or changes for distribution to the membership.

Section 6

Executive Committee: shall consist of officers of the Executive Board and Chairpersons of standing committees. This committee will call special meetings; take action between meetings as instructed by the membership, and deal with emergency problems.

Article X
Dissolution
Section 1

In the event the association becomes inactive more than six months, all cash monies (treasury) and any property of the association shall be put in trust by the Council of Neighborhoods for a period of not to exceed two years. In the event the association is not reactivated within a two year period, the treasury, to include any property, becomes the property of the Council of Neighborhoods.


Article XI
Amendment of the Bylaws
Section 1

These bylaws may be amended at a regular meeting of the Association by a two thirds (2/3) vote of the membership present, providing the proposer has written report outlining the amendments and/or changes to be read with the understanding to the membership and provided that the proposals were submitted to the membership at the previous regular Association meeting. All amendments proposed to the bylaws shall be noted in the monthly neighborhood newsletter, to be voted on. All approved amendments and/or changes to take effect immediately after the confirmed vote.

Section 2

Amendments to the bylaws shall be highlighted in BOLD face type before being presented to the membership for its approval. Upon approval by the membership all changes shall reflect the date of the approval.
