ARTICLES OF ASSOCIATION

PICKERINGTON AREA TAXPAYERS’ ALLIANCE

FIRST. The name of the association is "PICKERINGTON AREA TAXPAYERS' ALLIANCE."

SECOND. The purposes of the association are to consult, review and make public comments on issues that affect Pickerington area taxpayers; to encourage and provide a forum for Pickerington area taxpayers to speak out on such issues; and to seek out and inspire local candidates to run for public office.

THIRD. Any individual who pays taxes as a resident of the Pickerington Local School District, of Violet Township, or of the City of Pickerington, Ohio, may be a member of the association. The Secretary of the association shall maintain a list showing the name, address, telephone number and, if possible, E-mail address of each member. To remain in good standing, each member must timely pay such dues as the members may, from time to time, approve.

FOURTH. The association's officers shall include a Chairperson, a Vice Chairperson, a Treasurer, a Secretary and such other officers as the members of the association may decide. An individual may hold more than one office. Any member in good standing of the association shall be eligible for election as an officer of the association. The officers shall be elected at the first meeting of the members in each calendar year, and shall serve until their successors are elected at the first meeting of the members in the next calendar year; provided that if any officer resigns, or ceases to be a member in good standing, the members shall elect a replacement to such office at their next meeting.

FIFTH. Meetings of the members shall be held at such times and places as the members may decide. The Secretary shall notify each member of the time and place of each meeting, at least forty-eight hours before such meeting, by telephone, E-mail, U.S. mail or in person; provided that no such notice shall be required for any meeting that is held at a time and place previously approved by the members. The officers of the association shall prepare an agenda for each meeting, provided that the officers shall place on the agenda any matter proposed by any member that is reasonably related to the purposes of the association. The Chairperson or, in his absence, the Vice Chairperson or, in his absence, a member chosen by the members present at the meeting, shall preside at each meeting. The Secretary or, in his absence, a member chosen by the members present at the meeting, shall prepare written minutes of each meeting. A majority of the members shall constitute a quorum at any meeting; provided that the members present at a meeting, even if less than a quorum, may adjourn the meeting to another time and to a stated place. No resolution shall be adopted, no officer of the association shall be elected, no matter shall be approved, and no action shall be taken by the association except with the prior affirmative vote of a majority of the members present at a meeting; provided, however, that the amendment of these articles of association shall require the affirmative vote of two-thirds of all members of the association. Each member present at a meeting shall be entitled to one vote on each matter presented for a vote at such meeting. Only members who are present in person at a meeting shall be deemed present at such meeting; and only members in good standing who are present at a meeting shall be entitled to vote on any matter presented for a vote at that meeting.
