ARTICLE I Name and Address
The name of this organization is San Bernardino High School Neighborhood Association (hereinafter referred to as “SBHSNA”), and its principal address will be established by the Executive Committee.
ARTICLE II Goals
The goals of SBHSNA are to enhance and preserve the quality of life in the portion of the city of San Bernardino within the boundaries of Baseline, Highland Avenue, Arrowhead Avenue, and the 215 Freeway as well as the communities that surround SBHSNA.
ARTICLE III Purpose
The purpose of SBHSNA is to provide a forum within which its residents can:
1)Identify, discuss, and provide input on:
a)regional issues that affect our neighborhood;
b)ways to best manage growth to enhance the quality of life and opportunities offered to all who live within our neighborhood;
c)public services to and facilities within our neighborhood;
d)ways to best improve transportation resources, including roadways and public transportation;
e)ways to introduce, preserve and enhance our neighborhood’s public parks and recreation facilities
f)education and school-related issues that affect our neighborhood; and
2)Strengthen and preserve regional neighborhood associations and the relationships and bonds among them; and
3)Communicate with elected officials, governmental bodies, and others to share the interests and concerns of members of the SBHSNA area of operation.
ARTICLE IV Membership
1)Membership in SBHSNA is open to any residents (homeowners, renters, rental property owners) within the established boundaries of the Association, or others as may be voted upon by SBHSNA Members.
2)Businesses owners within the boundaries of the association may join SBHSNA as Non-voting Associate Members.
3)Membership applicants shall be admitted to SBHSNA upon payment of applicable dues.
4)Participants, other than Non-voting Associate Members, electing not to pay dues will not be authorized a counting vote, will not be approved to hold leadership positions, and will not be provided other cost related benefits of the Association.
ARTICLE V Dues
1)Membership dues are $12.00 per Member per year.
2)Membership dues for Non-voting Associate Members shall be $25.00 per year.
3)Any increases in membership dues will not be retroactive but will take effect at the beginning of the following fiscal year (1 October).
ARTICLE VI Duties of Cluster Leaders
1)It is the duty of each Cluster Leader to attend all SBHSNA regular and special membership meetings and to participate in any votes taken at those meetings.
2)If a Cluster Leader is unable to attend, it is his/her duty to arrange for an Alternate or proxy to attend.
3)Any Cluster Leader, Alternate, or proxy must abstain from voting on any matter in which he/she would have a direct financial interest.
4)Each Cluster Leader:
a)Serves for a period of 24 months from date of appointment by the President and/or Executive Committee.
b)Serves as the representative and head of their assigned geographical area within the SBHSNA.
c)Serves as the communications liaison for their assigned geographical area to the SBHSNA Officers and Executive Committee.
d)Will maintain an up-to-date roster of the Resident Members with their area of operation.
e)Will collect and submit reports of interest, activities, and projects from his /her area of operation in a timely manner to the SBHSNA Secretary for consideration of inclusion in the Newsletter.
f)Collect and submit dues for new and renewing members of his /her area of operation and submit same with a written report to the SBHSNA Treasurer.
ARTICLE VII Executive Committee
1)The Executive Committee consists of present SBHSNA officers and those immediately- outgoing SBHSNA officers who agree to serve.
2)The President of SBHSNA will preside over all Executive Committee meetings. The Secretary will record minutes at all Executive Committee meetings.
3)Each member of the Executive Committee will have one vote, except that the President of SBHSNA will not have a vote. If a tie is the result of a vote on any matter put before the Executive Committee, then the President will cast his/her vote in order to break the tie.
4)The duties of the Executive Committee are to provide oversight and guidance to SBHSNA.
5)The Executive Committee shall meet at least once every four months. The President shall set the time, place, and agenda of all meetings.
ARTICLE VIII Officers
1)The officers of SBHSNA are a President, Vice-President, Secretary, and Treasurer.
2)The term of office for the President, Vice-President, Secretary, and Treasurer, and any other officer position is two years (24 months).
3)Each such officer’s term begins in ___________and ends in __________ of the 24th month.
4)Officers may be re-elected for unlimited consecutive terms.
5)Any two or more offices may be held by the same person, except that the offices of President and Secretary may not be held by the same person.
6)At the discretion of the President, committees may be appointed.
ARTICLE IX Duties of Officers
1)The President serves as the representative and head of SBHSNA. The President’s responsibilities are:
a)Preside at all SBHSNA membership and Executive Committee meetings.
b)Assure adequate discussion and timely resolution of issues at all meetings over which he/she presides.
c)Assure that there is an agenda for all meetings.
d)Appoint all committees and perform such other duties as are usual to the office including, the execution of any legal instruments except in cases where the execution thereof shall be expressly delegated to some other officer of SBHSNA.
e)Serve as the communications liaison for SBHSNA to the San Bernardino City Council and the media.
f)Represent (or appoint other individuals to represent) SBHSNA as is necessary from time to time.
g)Appoint a nominating committee for regular elections.
2)The Vice-President’s responsibilities are:
a)Send out notice of monthly and special meetings to all representatives prior to meetings; and
b)Perform the duties of the President in the President’s absence.
3)The Secretary’s responsibilities are:
a)Keep accurate records of all SBHSNA meetings.
b)Maintain an up-to-date roster of the Members, Area Commanders, Alternates, and Executive Committee members.
c)Compile minutes of all SBHSNA meetings.
d)Produce a regular newsletter, as more specifically provided in Section 1 of Article XIII (Miscellaneous Provisions).
4)The Treasurer’s responsibilities are:
a)Receive all money that comes into SBHSNA and keep an accurate account thereof;
b)Make all disbursements after same are authorized by the Executive Committee, or SBHSNA membership, and keep an accurate account thereof;
c)Prepare a written Treasurer’s Report monthly or as requested by the President; and
d)Present the Treasurer’s Report at each regular membership meeting.
e)Maintain co-signature authority on all banking institution documents where SBHSNA funds are maintained.
ARTICLE X Meetings
1)Regular periodic meetings of the SBHSNA membership will be held according to a schedule to be approved by the President or person he/she assigns.
2)The exact place and time of each meeting will be set by the President.
3)Other meetings may be called at any time by the President.
4)The Vice-President must notify each Member and/or Officer as to the time and place of all meetings at least 48 hours in advance of such meeting. Notification may be accomplished by telephone, regular mail, or electronic mail.
5)To have a valid meeting during which official business and/or policies may be discussed, voted upon, or adopted, a quorum must be present. A quorum is 50% plus one of the Members in good standing; provided, however, that if a Member has not been present at three consecutive regular membership meetings, then that Member will not be counted in determining a quorum at any subsequent consecutive regular membership meetings at which the Member is not represented.
6)Members may vote by proxy upon validation of the proxy by the Secretary.
7)Valid proxies must be counted in determining a quorum. An affirmative vote of a majority (50 percent plus one) of the Members present at the meeting shall be required for a measure to pass.
8)All SBHSNA meetings will be conducted in accordance with Roberts Rules of Order as amended.
ARTICLE XI Order of Business of Regular Membership Meetings
1)Unless otherwise provided by the Board, the order of business at each regular monthly membership meeting will be:
a)Call to order, Prayer, Pledge of Allegiance, introductions, announcements
b)Approval of the previous membership meeting’s Minutes
c)Treasurer's report
d)Committee reports
e)Unfinished business
f)New business
g)Adjournment
ARTICLE XII By-Laws
1)The By-Laws of SBHSNA may be amended, repealed or added to, and new By-Laws may be adopted, by affirmative majority vote of Members present at a regular or special Membership meeting.
2)However, for any such action, each Representative must first be sent notice of such meeting and the proposed action item(s) at least 48 hours in advance of such meeting, by either
a)regular mail to his/her address listed in SBHSNA’s records
b)Email to the electronic address of record for the Representative.
ARTICLE XIII Miscellaneous Provisions
1)SBHSNA will publish a newsletter that will be distributed to its membership via bulk mail and/or via posting to membership emails where available.
a)Only dues paying members and non-voting associate members will receive official newsletters.
b)Newsletters will be published on a quarterly basis 15 February, 15 May, 15 August, and 15 November and delivered to each person concerned no later than by the last day of the month concerned.
2)SBHSNA’s Secretary is responsible for producing the newsletter. Expenses incurred for services related to typing, photocopying, and mailing the newsletter will be paid by SBHSNA.
3) These By-Laws will be governed by and interpreted in accordance with California law.
4)If any provision of these By-Laws is held to be invalid, illegal, or unenforceable in any respect, the invalidity, illegality, or unenforceability will not affect any other provision; and the By-Laws will be construed as if they had not included the invalid, illegal, or unenforceable provision.
5)The headings used in these By-Laws are for convenience of reference only and may not be considered in construing the By-Laws.
