Article 1
The name of this organization shall be Tri-Lakes Homeowners Association, a duly licensed non-profit corporation #725-708, registered as of 12/1/78 under the provisions of act #327 of the public acts of 1931, and act #284 of 1972 as amended, State of Michigan.

Article 2
The purpose of this organization shall be to unite the residents of the Dunleavy subdivisions 1,2,3, and Dunleavy subdivision for lake and outlot maintananceand general improvements for all.

Article 3
Each property owner or persons within Dunleavy subdivision, Dunleavy subdivisions 1,2,3 is entitled to be a member of the association. Membership may not be denied on the basis of race, creed, sex, or national origin. Special membership may be granted by a vote of the members. Property owners at 460,470,2892, and 2920 Dunleavy Drive and 516 Gaffney are also entitled to membership.

Article 4
A. There shall be an elected board of directors consisting of five (5) officers: President, Vice President, Secretary, Treasurer, Sargent at Arms, and three (3) Trustees, each of whom must reside in within the eligible subdivision during their term of office. No board member shall be allowed to hold more than one (1) office at any time and must be a member in good standing.

1. Duties of the President:
a. To preside at scheduled meetings
b. To appoint committees
c. To act as representative of the association
d. To co-sign checks and orders
e. To appoint an auditor for yearly financial audit with board approval.
f. To see that all resolutions and special orders are put into effect.

2. Duties of the Vice President:
a. To assume the duties of the president if the president is absent, disabled or is otherwise unable to perform the duties of his/her office
b. To oversee and coordinate the duties, functions and responsibilities of all committees.
c. Shall chair the bylaws committee.

3. Duties of the Secretary:
a. to record the minutes of the meetings and to maintain them in a legel binder belonging to the association and to be open for inspection and reference of all association members.
b. Collect and maintain correct and current member records.
c. To notify the members of scheduled meetings.
d. To send and receive official correspondence.
