By-Laws of the Bush Hills Neighborhood Association Inc.

Name
The name of the Association shall be the Bush Hills Neighborhood Association, Inc.
Purpose
The purpose of the association shall be to promote a better community through group action. Specific goals may be established from time to time as members decide.
Membership
Membership is voluntary to any and all persons residing within the attached Exhibit A.
Dues
Annual dues shall be $50.00 per household, and shall be renewable and adjusted each year by vote of the membership to reflect the financial need of the Association. Additional special dues may be assessed to accomplish specific projects if approved by the membership.
Officers and Directors
The officers shall be a President, Vice President, Secretary, Treasurer, Sergeant-at-Arms and three Trustees and such other officers as the Association shall elect. They shall be elected by the entire membership each year at the annual meeting. Any resident of a dues paying household shall be eligible to hold any office. The Board of Directors shall consist of no less than five and no more that eight members and shall include the President, Vice President, Secretary, Treasurer, Sergeant-at-Arms, Trustees, and Immediate Past President of the Association and such other directors as the membership shall elect at large at any regular meeting. The Board of Directors may call special meetings, take action between regular meetings on behalf of the membership, and deal with emergency problems. The Nominating Committee shall present a single slate of candidates for each office to be filled. The Chairman of the Nominating Committee shall be appointed by the President.
Committees
The Association may establish committees, for any specific purpose, to act in the best interest of the Association. Said committees may be appointed by the Board of Directors or elected by the group.
Meetings
The annual meeting shall be held in the fourth week of August and the officers and directors elected shall take office the following month on September 1. Other meetings shall be held on a regular basis, and at a time and place of convenience to the largest number of members. Meetings shall be called and members notified at least one week in advance. Each dues paying household shall have the right to cast a maximum of one vote at the annual and all regular meetings and shall have the privilege of attending any committee or Board of Directors meeting.
Quorum
At least 20 persons qualified to vote, as defined in the Meetings section of the By-Laws, must be present to conduct official business. A majority of those persons present and qualified to vote can approve any action.
Finance
Association funds shall be deposited with a financial institution in accounts in the name of the Bush Hills Neighborhood Association, Inc. The elected Treasurer shall be responsible for recording receipts and disbursements and presenting a financial report at each meeting of the Association. Withdrawal of funds will require the signature of two officers of the Association. No commitment for expenditure of funds shall be made without the approval of an officer. At the end of each fiscal year (which is the calendar year) the President shall appoint an audit committee of members to review the records of the Treasurer and report to the Board of Directors on their findings. Any expenditure over $250.00 will be voted on by the membership.
Financial Contributions
In order to ensure the fiscal integrity of the Bush Hills Neighborhood Association, it shall be the policy of BHNA that contributions to any and all entities providing activities or service beneficial to BHNA shall be limited to an aggregate amount not exceeding 15% of the total membership dues collected during that year. This limitation shall not be construed to mean that BHNA is required to make contributions in any year nor shall there be any “carry over” of uncontributed funds from one year to the next.
Amendments
The By-Laws may be amended at any regular meeting. Membership must be notified at least one week in advance of the proposed amendment and a majority of those present and voting must approve the change.
