Denton Southridge Neighborhood Association

History

The organization was formed in 1998 to address issues related to neighborhood appearance.

Purpose

* To improve the health, sanitation, safety and cleanliness of the neighborhood;
*To beautify the entrances;
*To encourage the maintenance of existing structures;
*To preserve native trees; and
*To get to know and enjoy association with neighbors.

Article I – NAME

Section 1 - Name

The name of this organization shall be Denton Southridge Neighborhood Association, Inc.

Section 2 – Registered office and agent

The corporation will maintain a registered office and agent as required by the Texas Non-Profit Corporation Act. The registered office and agent may be changed from time to time by the officers of the association.

ARTICLE II - PURPOSE

The purpose of this organization shall be charitable and educational within the meaning of Section 501(c)(3) of the Internal Revenue Code. The organization is established to promote public interest in the general improvement of the environment of the Southridge neighborhood; to initiate, plan, direct and coordinate programs for neighborhood involvement; to develop plans for improving the health, sanitation, safety and cleanliness of the neighborhood; to beautifying the entrances into the neighborhood; and to encourage the maintenance of existing structures and encourage maintenance of landscape preservation of native trees.

ARTICLE III - MEMBERSHIP

Section 1 - Membership

Any individual aged 18 years or more that has paid dues as established by these by-laws and residents or owns property within the defined boundaries of the neighborhood shall be eligible for membership.

Section 2 - Dues

Dues shall be ten dollars ($10) per year per person and shall be paid for one year from Annual Meeting to Annual Meeting. Dues may be paid at any time during the year.

Section 3 – Voting

Each member shall have one vote.

ARTICLE IV - OFFICERS

Section 1-Election

The nominating committee shall present a slate of officers for election by the membership prior to the annual meeting. The slate of officers shall be included in the notice for the annual meeting. The four officers, President, Vice President, Secretary, and Treasurer shall be elected from dues paying members of the association

Section 1.2 Term of Office

The term of office shall be one year beginning at the conclusion of the Annual Meeting.

Section 2 - President

The President shall be the chief executive officer of the corporation and shall, in general, supervise and control all business and affairs of the corporation. The President may sign all or any deeds, mortgages, bonds, contracts, or other instruments which the association authorizes to be executed, except when otherwise delegated to another officer by the by-laws. The President shall perform all duties incidental to the office and such duties as deemed necessary by the Executive Committee. The President shall act as the public spokesman for the association; shall serve as an ex-officio of all committees except the Nominating Committee, and shall perform all other duties as the President elects.

Section 3 - Vice President Operations

The Vice President shall act in the absence of the President; and in the absence or disability of the officers named, a member of the Board shall be chosen to act temporarily.

Section 3.1 - Vice President Membership

The Vice President shall coordinate membership drives and promtion of membership.

Section 4 - Secretary

The Secretary shall keep the records, the minutes of the meeting, a roll of the attendance of members and officers, and shall send out proper notices of all Membership meetings and other meetings when necessary.

Section 5 - Treasurer

The Treasurer shall authorize the paying of monies on such expenditures as the Board may determine; shall be responsible for the maintenance of adequate books of account; shall present periodic financial statements of receipts and expenditures; and shall arrange for an annual independent review of the accounts.

Section 6 - Interim Officers

Officers elected at the organizational meeting on April 13, 1999 shall serve until the Annual Meeting in January 2000.

SECTION V – NEIGHBORHOOD BOARD OF DIRECTORS

Section 1 – Purpose

The Neighborhood Board of Director, as referred to as the Board, shall carry out the policies established by the membership. During the intervals between Membership meetings, the Board shall determine matters for the membership to consider and establish administration of the organization.


Section 2 - Board of Directors Composition

The Board shall be comprised of the officers and the standing committee chairpersons.

Section 3- Resignation and Removal

The unexplained absence of a director at three consecutive Board and/or Membership meetings shall be deemed a resignation.

Section 4 – Vacancies

In the event of death or resignation, the remaining Directors may appoint a successor to an Officer position who shall serve until the next membership meeting. The Nominating Committee shall present a nominee to fill the vacancy. The President shall fill any vacancy in a Committee Chairperson position.


SECTION VI - COMMITTEES


Section 1 - Nominating Committee

The Nominating Committee shall consist of three members, appointed by the President. The Nominating Committee shall be appointed at least 60 days prior to the Annual Meeting.

Section 2 - Standing Committees
A. Establishing Annual Standing Committees: Standing Committees shall be determined by the Board of Directors. The Standing Committees shall be determined annually based on the needs of the Denton Southridge Neighborhood Association and shall be announced at the Annual Meeting.
B. Committee Chairperson: The Chairperson of a Standing Committee shall be a member of the Denton Southridge Neighborhood Association and appointed by the President.


Section 3 -Other Committees: The President shall appoint other committee chairpersons, subject to the approval of the Board, to do preliminary work in the preparation of matters for membership action and to expedite the work of the Board. The Board shall define duties of these committees.


ARTICLE VII – MEETINGS


Section 1- Annual Meeting

The annual meeting of the members shall be held in April of each year. A simple majority of dues paid members present shall be required for all actions on the meeting agenda requiring a vote of the membership.

Section 2 – Quarterly Membership Meetings

The Denton Southridge Neighborhood Association, Inc. shall hold quarterly meetings on a date, time, and location determined by the Board of Directors. A simple majority of dues paid members present shall be required for all actions on the meeting agenda requiring a vote of the membership.

Section 3 - Notice of Annual and Quarterly Meetings:

Notice of the meetings shall be in writing and mailed or delivered to the members at least ten (10) days prior to the meeting.

Section 4 - Other Membership Meetings:

Other meetings may be called by the President or upon petition of one-third of the members of the Board of Directors. Notice shall be provided in writing.

Section 5 - Meeting of the Board of Directors:

The Board of Director shall meet quarterly at a date, time and location to be determined by the Board or called by the President. Two-third of all members of the Board of Directors present in person shall constitute a quorum.

ARTICLE VIII - FINANCE

Section 1 - Accounts: The funds of the association shall be deposited in such bank or financial institution as the Board shall designate and all withdrawals shall be made by check requiring the signature of the Treasurer and President.

Section 2 - Budget: The membership shall adopt a budget or in lieu of a budget shall approve any expenditure over $200 excluding general operating expenses such as but not limited to printing and postage. The approval may be by a simple majority of the members present at the meeting.


ARTICLE IX - AMENDMENTS

These bylaws may be amended by 2/3rds vote of membership present at any quarterly or annual meeting provided that the proposed amendment was inserted in the notice of such meeting.

ARTICLE XI - DISSOLUTION

In the event of dissolution, the residual assets after all expenses have been paid will be distributed to one or more organizations which themselves are exempt as organizations in Section 501(c)(3) of the Internal Revenue Code and have a purpose consistent with those of the neighborhood association.

About our association

Adopt-a-Spot and Entrances

DSNA adopted a section of FM 2181 from Pennsylvania to Longridge. Volunteers donated 90 hours to keep our entrances clean. New signs installed using the existing Southridge East blocks. Signs were done at no cost to the DSNA. Cleanups are held the first Saturday of January-September and November-December and the fourth Saturday in October.

Community Involvement

Presentation by the City Manager, Denton County Judge and District 4 City Council member. Held a debate for the 2002 Mayor and At-Large City Council candidates.DSNA shared information with the City of Denton on mosquito control, recycling, and crime prevention. The DSNA continues to work with the Texas Department of Transportation on the proposed changes to Interstate I-35 E and the service roads.

Neighborhood Meetings and Gatherings

The neighborhood holds quarterly membership meetings in April, October and January. A neighborhood party in Skilles Park is held in October/November.
