CONSTITUTION AND BYLAWS OF
GREATER BARTLETT COUNCIL OF HOMEOWNER ASSOCIATIONS
Article I — Organization
A. The Greater Bartlett Council of Homeowner Associations is organized not-for-profit. No part of its income may inure to the profit of any member or private individual. Its income shall be expended only for the establishment, maintenance and development of its own programs as adopted and approved by the Board of Directors.
B. The missions of this Council are: to create a forum for homeowner associations to represent the true interests of their respective communities; to provide opportunities for open and honest dialog between homeowners and their elected representatives; to disseminate in a timely fashion unbiased, factual information to interested parties, and to provide homeowners a strong voice in issues which affect their quality of life.
Article II — Constitution and Bylaws
This Constitution and Bylaws may be amended by a two-thirds majority vote of the member homeowner associations in good standing, voting at an annual or special meeting. Thirty days notice, defining the proposed amendment, must be mailed to each member in good standing. Each member association shall be entitled to one vote. A member homeowner association in good standing is one that has been recognized by the Council and paid dues prescribed by Council members.
A 60% quorum of member associations is required for any amendment to be adopted. No proxy votes will be allowed.
Article III — Membership
Section 1. Homeowner associations located in the City of Bartlett, TN or the Bartlett annexation areas are eligible for membership. Only one homeowner association in a specific subdivision, neighborhood, or area will be accepted into membership.
Section 2. Each member association may designate two representatives to serve on the Board of Directors.
Article IV — Officers
Section 1. The officers of this Council shall be a President, a Vice President, a Secretary, and a Treasurer.
Section 2. The officers shall be elected by a majority vote of members voting during the annual meeting.
Section 3. The term of office shall be one year. However, an officer may be elected to one successive term. An officer who has served two consecutive terms may not be nominated or elected for a period of at least one year.
Section 4. Should a vacancy occur in the officer ranks, the surviving officer(s) shall move to the next higher office. At the next meeting of the Council, an election shall be conducted to select replacements for the office(s) left vacant.
Article V — Directors
Section 1. The Board of Directors shall consist of no more than two representatives from each member association. Each director shall be entitled to one vote.
Section 2. The term of office for a director shall be one year. Directors may serve consecutive terms.
Section 3. Prior to the annual meeting, each member association shall inform the Council President of the association's representatives to the Board of Directors. Proxy votes will not be allowed.
Article VI — Annual Meeting
Section 1. The annual meeting shall be held in January.
Section 2. During the annual meeting, officers of the Council will be elected.
Section 3. Each member association in good standing will be entitled to one vote for the election of officers. Proxy votes will not be allowed
Article VII — Duties of Officers/Board
Section 1. The President shall preside at all meetings and be the spokesperson for the Council.
Section 2. The Vice President shall conduct meetings in the absence of the President and perform other duties as assigned.
Section 3. The Treasurer shall:
(1) Collect annual dues from all member associations
(2) Maintain accurate financial records
(3) Disburse funds as approved by the Board of Directors
Section 4: The Secretary shall:
(1) Record and maintain a file of minutes of all official meetings
(2) Perform other duties as may be assigned
Section 5. The Board of Directors shall have the following responsibilities:
(1) Conduct the business of the Council
(2) Amend the Constitution and Bylaws
(3) Approve projects and programs
(4) Approve the budget
Article VIII — Meetings
Section 1. The Board of Directors shall meet quarterly or at special meetings called by the President.
Section 2. Special meetings of the Board of Directors may be called by a two-thirds majority of directors. A thirty day notice shall be required for such a meeting.
Article IX — Parliamentary Procedure
Robert’s Rules of Order Newly Revised shall govern the Council in all issues in which they are applicable and not in conflict with bylaws or rules approved by the Council.
