Article I - Purpose
A. Name. The name of this non-profit organization shall be the Hyde Park Homeowner’s Association.
B. Purpose. The general purpose of the Hyde Park Homeowner’s Association shall be:
1. To maintain the entrance way signs and lighting at the east entrance to Hyde Park Subdivision.
2. To maintain the landscaping along Hilliard-Rome Rd both north and south of the Hyde Park Subdivision.
3. To collect dues and sponsor activities which will raise the necessary funds to maintain these areas.
4. To sponsor social activities for the enjoyment of all residents of the Hyde Park Subdivision.
5. To keep abreast of issues affecting Hyde Park Subdivision and keep the residents informed as these issues develop.
Article II - Membership
A. Eligibility - Any individual eighteen (18) years or older either living or owning property within the areas designated as Hyde Park referring to plats #R-3ORD, 85 and 80, #R-3ORD, 59 and 72 upon payment of annual dues is considered a member of this Association.
B. Voting Rights - Voting rights are restricted to Association members located within the above-designated geographic area. Each residential household shall be entitled to one vote. Each street address shall constitute a single and separate household. In the case of rental property, only one vote per single street address shall be allowed. This shall be either the owner or the tenant, but not both, as may be decided between them.
Article III - Officers
A. The Board of Directors shall consist of the following voting officers:
1. President
2. Vice-President
3. Secretary
4. Treasurer
B. The Immediate Past-President shall serve as a non-voting member of the Board of Directors except in the case of a tie vote in which case he/she shall have the authority to cast the tie-breaking vote.
C. The Board of Directors shall handle the regular business of the Association.
D. The Board of Directors shall have the power to:
1. Initiate or join any legal proceedings and to retain legal counsel as may be necessary to enforce any restrictions contained in any Declaration of Restrictions, deed or recorded plat.
2. Conduct studies or investigations of concern to the Association.
3. To engage in various funding or fund raising activities.
4. To engage in advocacy to promote activities, information, and positions, including advertising or publicity.
5. To do any and all things lawful for an association to do in attempting to achieve the interests of the membership.
E. Duties of the Board of Directors are governed by the By-Laws.
F. To be eligible to be an officer of this Association an individual must:
1. Maintain a primary residence in Hyde Park Subdivision or the area described in Article II A.
2. Must be a member in good standing as evidenced by payment of annual dues.
G. In the event a duly elected officer loses eligibility to serve as a member of the Board of Directors he/she must immediately resign the position. If the departing officer is the President the Vice-President shall assume the duties of President and appoint a replacement to serve the remainder of the term as Vice-President. If the departing officer is any other officer, the President shall appoint a replacement to serve the remainder of the term.
H. The term of office shall be two years. No officer may serve more than two consecutive terms in the same office, unless an officer has not held such office for more than 180 days at the time of the election.
I. An individual may hold only one elected Board position at a time.
J. Two individuals from the same household shall not serve on the Board of Directors at the same time.
K. The Board of Directors will receive no compensation of any kind for their service.
L. The President of this Association may appoint such Special Committees as the welfare and progress of the Association demands. The membership therefore shall consist of such members as the President may determine.
Article IV - Financial
A. Dues of this association shall be fixed by the Board of Directors. Any member who fails to pay dues within sixty days shall be dropped from the rolls of the membership with notice. Dues are to be paid annually. A member may be reinstated upon receipt of all delinquent dues.
B. Dues will be assessed as determined by the By-Laws.
C. The fiscal year shall be from 1 September to 31 August.
D. All expenditures of the Association in excess of twenty-five dollars ($25) must be approved by a majority vote of the Board of Directors.
Article V - Amendments
A. These articles may be amended or repealed, in whole or in part, by a 75% majority vote of the members present at a meeting held for such a purpose.
B. Written notice of such proposed amendments shall be delivered to all members no less than seven days prior to the meeting at which the proposed amendments are to be voted upon.
Article VI - By Laws
By-Laws will be hereafter adopted by the association and such By-Laws may be amended or repealed, in whole or in part, in the manner provided therein, and any such amendments to the By-Laws shall be binding on all members.
Article VII - Dissolution
Dissolution will occur when the membership drops to less than 15 members, including the Board of Directors. All monies in the treasury will be distributed to a non-profit organization to be agreed upon by the remaining members.
Article VIII - Adoption
We, the undersigned, certify that this Constitution was approved by a 75% majority vote of the members present at the Special Meeting on October 24, 1999.

Article I - Elections
A. Elections will take place at the annual meeting in August of each year.
B. A nominating committee will be appointed by the Board of Directors to nominate a slate of officers to be presented at the annual meeting.
C. Nominations will be accepted from the floor at the annual meeting.
D. The Treasurer will verify each nominee as a valid Hyde Park Homeowner’s Association member.
E. There will be no absentee ballots or voting by proxy. Members must be present to vote.
F. All election procedures will be governed by Robert’s Rule of Order.
G. A majority vote of attending members shall decide the election.
H. The President and Vice President shall be elected in odd numbered years. The Secretary and Treasurer shall be elected in even numbered years. This will allow for a normal progression of leadership and smooth transition for the Vice President to take over the office of President.
I. The newly elected officers shall be installed and will assume their duties immediately following the annual meeting.
Article II - Duties of the Board of Directors
A. The management of the property, finances, and activities shall be vested in the Board of Directors including maintenance of the entranceway signs and landscaping abutting Hilliard-Rome Rd.
B. The Board of Directors will maintain contact with Hilliard City officials on issues affecting the Hyde Park Subdivision and will keep the membership informed of such issues.
C. The Board of Directors will uphold the Constitution of this Association.
D. The Board of Directors will be charged with acting in the best interest of the members at all times.
Article III - Duties of the Officers
A. President
1. Shall preside at all meetings of the general membership and any meetings of the Board of Directors.
2. Shall appoint the chairperson of all committees.
3. Shall be an ex-officio member of all committees.
4. Shall make an annual report to the membership.
5. May call special meetings at any time.
6. Shall have voting rights.
B. Vice-President
1. Shall perform all the duties of the President in case of his or her absence or disability.
2. Shall immediately assume the responsibilities of President should the position become vacant for any reason.
3. Shall have voting rights.
C. Secretary
1. Shall keep minutes of all proceedings of the Board of Directors and any general or special meetings of the membership. Copies of such minutes shall be kept on record and available for members to review upon request.
2. Shall oversee all correspondence and office records of the Association other than financial.
3. Shall maintain a post office box for the Association, if needed.
4. Shall gather information for, and prepare, the quarterly newsletter.
5. Shall have voting rights.
D. Treasurer
1. Shall receive and disburse all funds.
2. Shall maintain an adequate accountability of business transactions to be reported on a quarterly basis at Board of Director’s and general membership meetings.
3. Shall prepare and submit necessary state and federal income tax reports as required.
4. Shall make the financial records available to any member to review upon request within five working days.
5. Shall have voting rights.
E. Immediate Past-President
1. Shall provide a smooth transition of authority by informing the incoming President of all on-going issues.
2. Shall attend all meetings and provide advisory assistance to all Board members.
3. Shall have no voting rights except in the case of a tie vote.
Article IV - Meetings
A. The rules contained in Robert’s Rule of Order shall govern this Association in all cases to which they are applicable.
B. A general meeting of the members of this Association shall be held annually. Meetings shall be held in August, or as the Board of Directors may otherwise decide.
C. A special meeting of the membership may be called by the President; the Vice President in the absence of the President; the Board of Directors by action at a meeting; or by the membership if representatives of 25% of the member households sign a petition directing the officers to call a special meeting.
D. Meetings of the Board of Directors shall be called by the President, the Vice President or by any two officers. Three officers shall constitute a quorum.
E. The Board of Directors will meet a minimum of once a quarter.
F. Any action taken by the Board of Directors shall be by majority vote of those officers present. The Board of Directors may also take any action in writing and without a meeting provided a majority of the trustees approve of such action and the President has been informed of such action.
Article V - Dues
A. Dues of this Association shall be $50 per single street address.
B. Dues are to be paid upon receipt of notice in August of each year.
C. A resident moving into Hyde Park Subdivision during the month of March or any time thereafter shall be required to pay $25 for membership for the remainder of the year.
Article VI - Committees
A. The President of this Association may appoint such special committees as the welfare and progress of the Association demands. The membership therefore shall consist of such members as the President may determine.
B. Each committee chairperson shall be required to report at each general meeting and at each Board of Director’s meeting.
C. Each temporary committee chairperson shall hold their post until the following year’s President has made appointments.
Article VII - Amendments
A. These by-laws may be amended or repealed, in whole or in part, by a majority vote of the members.
B. Notice of proposed changes will be distributed to the members and mail-in or call-in votes will be accepted up to 14 days following distribution.
Article VIII - Adoption
We, the undersigned, certify that these By-Laws were approved by a 75% majority vote of the members present at the Special Meeting on October 24, 1999.

Pertaining to Article V - Dues A. & c.
As reads:
A. Dues of this Association shall be $50 per single street address.
C. A resident moving into Hyde park Subdivision during the month of March or any time thereafter shall be required to $25 for membership for the remainder of the year.
Be amended to read:
A. Dues of this Association shall be $45 per single street address.
C. A resident moving into Hyde Park Subdivision during the month of March or any time thereafter shall be required to $20 for membership for the reaminder of the year.

The Hyde Park Homeowners Association was formed in 1996 for the purpose of maintaining the entrance way signs, lighting, and landscaping along Hilliard-Rome Rd. The Association is also responsible for keeping residents informed of issues that affect them and their property values. The HPHA also sponsors social activities for the enjoyment of all residents. Activities held this year included an Easter egg hunt and a bike rodeo. A Community Watch program is also being initiated.
The Association is governed by a Board of Directors including a president, vice president, secretary, and treasurer. The constitution and by-laws were updated in October 1999.
